Download it again - sounds like, for some reason, you got a corrupt file -- or better yet just download the cab file, copy it to your device, and just install it there. Under the "downlod button" on the Skype download page look fo rthe text that says:
"<small>Beta release. Version: 2.1.0.53. Release date: August 15, 2006</small>. Advanced users can also download the .cab file directly."

Actually, now that I copied and pasted the text here from the Skype page, I see that you can just click on the above link to download the cab file.
IF you want to install skype, using the cab file, anywhere other than main memory, on WM2003, you will need to use a utility like cabinstl. I have attached this utility to this post.
For anyone else wanting to use the cab file, you only need to use cabinstl on WM2003 -- WM5 has the ability to direct where you install software built into the operating system.
