Try Absolute MP3 Recorder
Do a Google Search on an MP3 Utility called Absolute MP3 Recorder -- or look here: http://www.filetransit.com/view.php?id=2889
It's a free utility that allows you to record any sound your PC makes using a software U-Turn feature within your sound card.
It doesn't actually "convert" from one format to another but essentially records a new copy without using wires or any hardware. The recording is digital so there is very little signal loss from your source.
To do what you want, you would play your source file in Real Player while recording the input via Absolute as a .wav file. I then use dbpoweramp (another free utility) to convert from .wav to .mp3 at 128kbps. I find this tool useful for converting licenced .wma files I have purchased via Napster to .MP3 files so I can listen to them on my 7135.
